All corporations must be registered at the Puerto Rico Department of
State - Corporations Division (Departamento de Estado - División de
Corporaciones), telephone (787) 724-3830, PO BOX 3271, San Juan,
P. R. 00904-3271.
You may register a corporation chartered in the United States of
America or elsewhere. You may also form a corporation under Puerto
Rico laws. In either case, there are certain formalities with
which to comply. Checklists and all necessary forms are available
at the Department of State.
Corporations must file an annual corporation report (Forms 25 or 25 A)
on or before April 15th each year at the Department of State.
Requirements vary depending on the business volume during the
preceding corporate fiscal year and other factors.
Corporate tax rates
Normal tax - 20% of net taxable income
Surtax - 5% to 19% of net income subject to surtax,
not to exceeed 39%
special tax 2.5%

Corporations are also required to file Corporate Income Tax Reports
(if applicable) and Corporate Personal Property Tax Returns
(if applicable). Corporations may also have to file Corporate
Business License Returns (Patentes Municipales).
The corporation may also have additional responsibilities as an
employer.
